the Company has completed the
acquisition of Transaction Solutions International PLC (“TSI”). Following shareholder approval granted
at a meeting held on 19 August 2010, QED Occtech Limited completed the acquisition of all of the
remaining shares in TSI that it did not already own.
The Company has issued 1,026,185,807 new shares to the TSI vendors and issued 162,800,000
converting notes to the TSI note holders in exchange for their securities

announces that since shareholders approved the acquisition
by the Company of the balance of Transaction Solutions International PLC (TSI), there has been
shareholder and investor interest in the business of TSI.
As a result of this interest and to provide additional working capital to fund the expected growth in the
business the Company is considering undertaking a placement of up to 125,000,000 shares to
sophisticated and professional investors each at an issue price of $0.04 each. There is no assurance that
the Placement will be completed in part or in full.
If undertaken, the placement will occur after completion of the TSI acquisition and be made under the
Company’s placement capacity in accordance with Listing Rule 7.1.
