we understand that in late 1999 Australian Worldwide Exploration Limited, an Australian based oil and gas exploration and production company, acquired a 96% controlling interest in Omega Oil NL (by way of an offer of 1 share in Australia Worldwide Exploration for every 2.6 Omega Oil NL shares) - approval was subsequently given for the selective reduction of capital and cancellation of shares in the capital of the company held by shareholders other than AWE Australia Pty Limited and its nominees for a cash consideration of A$0.20 per ordinary share
