The conditions for reinstatement were required to be met by 25 November 2023, which the Company was not able to achieve due to the delay in receiving a new permit to drill at the Barraba Copper Project. The ASX, in responding to the Company's request for an extension to the timing of removal noted that Comet had not met the criteria set out in Guidance Note 33. ASX was therefore unable to grant an extension of the LTSE removal deadline for CRL.

The conditions for reinstatement were required to be met by 25 November 2023, which the Company was not able to achieve due to the delay in receiving a new permit to drill at the Barraba Copper Project. The Company held its Annual General Meeting on 17 November 2023. At this meeting the shareholder approvals to affect the relevant capital raisings were obtained, providing a pathway for the Company to now meet the financial conditions for reinstatement. The Company had contacted the ASX to discuss possible variations to the reinstatement conditions, including commencing exploration works at the Company's Northern Territory projects instead of Barraba. These discussions are ongoing, and the Company will advise in due course once a final position is determined. As a result of this request being made to the ASX, the Company has in support submitted an application for a drilling permit for its Oonagalabi project in the NT to the Department of Industry, Tourism and Trade. Comet has received confirmation from the department that the application has been received and is being reviewed.

The Company has contacted the ASX to discuss possible variations to the reinstatement conditions, including commencing exploration works at our Northern Territory projects instead of Barraba. International Graphite is a party to the secured convertible loan outlined by Comet. It has contributed $250,000 In its own right and agreed to act as security trustee on behalf of the investors who are also party to the Loan. The Loan matures in 12 months, accrues interest at 8% per annum in cash and has a mandatory conversion into new Comet shares if Comet's shares are requoted on the ASX at the lower of $0.09 per share or a 10% discount to the next capital raise. Upon conversion of the Loan and Comet Shareholder approval, a 1 for 2 option to acquire a share will be issued by Comet with an exercise price of $0.20 and an expiry of 3 years.

The Company is seeking to raise up to $1.5m in secured convertible loans to support reinstatement of its shares to trading on the ASX. A shareholder meeting will be announced shortly to seek relevant approvals. An entitlement issue, which will give all eligible shareholders the right to participate, will also be launched to raise additional funds to meet the financial conditions for reinstatement should the Company receive approval from the ASX for reinstatement. An application for reinstatement is currently with the ASX for review. International Graphite Limited will subscribe for $250K in the convertible loans and may also underwrite a portion of the entitlements issue as part of a plan to further increase ties with Comet. To maximise the amount of cash available for future exploration, Management and the Board plan to convert existing debts of up to $400K into equity by partially underwriting the entitlements issue. The Managing Director will also forgive $50K in salary and work on half salary until the Company is reinstated.

The company announces the discontinuation of the proposed acquisition of the Mount Margaret Copper Project. The decision is in response to on-going adverse market conditions, which have resulted in the Company not being able to fulfill all the conditions precedent for the acquisition. The directors of Comet have resolved to withdraw the offers the subject of the Company's prospectus dated 24 February 2023. As a result, the securities for which shareholder approval was received at the Company's general meeting held on 27 March 2023 will not be issued. The decision to terminate the Mount Margaret Copper Project acquisition allows Comet to refocus on its existing high quality copper portfolio and pursue other opportunities as they become available. Furthermore, in addition to its copper assets, the Company continues to hold 40,000,000 shares in International Graphite Limited, worth approximately $9 million based on recent share prices.

Binding Heads of Agreement for the acquisition of the high-grade Santa Teresa Gold Project in Baja California, Mexico . Concurrently negotiated non-binding terms for up to a US$20M financing to fund development activities on the Project via a gold streaming and royalty arrangement to be provided by Raptor Capital International. 32 diamond holes have been drilled into the project delivering numerous high grade intersections. Santa Teresa has an existing non-JORC2 Inferred Mineral Resource estimate of 64,000oz Au Inferred grading at 8.7g/t, reported at a 4g/t cutoff. However, individual assay grades were capped to 20g/t . Historical production in the surrounding El Alamo district estimated between 100,000 to 200,000oz Au. Exploration upside and opportunity to expand current mineralisation due to the under-explored nature of the tenements and the gold rich nature of the district.
