Central Asia Resources Limited is pleased to advise that it has entered into a binding settlement deed with Millstar Holdings SA to settle a convertible loan amount outstanding to Millstar for AUD 1.9m. The loan will be settled by transferring ownership of the Company's Altyn Tas LLP asset by way of the sale of holding company Moonstone Holdings Limited, which owns 95% of Altyn Tas. The sale will be subject to relevant approvals to enable completion including CVR shareholder approval.

Central Asia Resources Limited (the Company) (ASX: CVR) is pleased to announce that it has entered into a Binding Heads of Agreement with Uroven OMR LLP ("Uroven or "The Buyer"), a special purpose private company registered in Kazakhstan, for the commercial sale of CVR's 90% interest in the Dalabai Gold Project ("Dalabai") in Kazakhstan. The sale is subject to certain conditions precedent.

The Ministry of Investments and Development of Kazakhstan has issued an Amendment covering the Company's 90% owned Altyn Tas exploration licence. The project is renewed until April 2018 and has an updated expenditure commitment of US$235,000 over this 3-year period. The Company is still in discussions with various parties in regard to the possible sale of its Dalabai Gold Project in Kazakhstan, which remains on Care and Maintenance. Other sources of debt and equity funding are also being considered.

Total revenues from this sale are expected to be US$410,000, subject to final adjustment. 90% payment was received on 27 November, with pricing determined by the one-month LME average price - An application for debt funding from a Kazakh bank is still in process. Confirmation of this funding should be the trigger for the final Gold Loan tranche (US$0.5m) and for an equity raising. These raisings, and funds from ongoing gold sales, should support a Full Mining Restart to occur at Dalabai, as well as a return to trading of shares in the Company

Central Asia Resources Limited (the Company) (ASX: CVR) announces that it has accepted, without admission of liability, an infringement notice issued by the Australian Securities and Investments Commission (ASIC) for an alleged contravention of section 674(2) of the Corporations Act 2001 (Cth) (Corporations Act) in relation to statements made by the Company regarding its 2012 gold production figures. The Company has been suspended from trading since 14 November 2012. ASIC alleges that, upon becoming aware of the information on 24 December 2012, the Company was required to announce its gold production figures for the period from August to October in 2012. The Company notes that these figures were confirmed to ASX on 30 April 2013 - CVR has elected to pay the A$33,000 penalty in respect of the infringement notice to conclude the matter (financed out of shareholder's funds of course!)
