Bardoc Shareholders have today been issued with the Scheme consideration of 0.3604 new fully paid ordinary St Barbara shares for each Bardoc Share held on the Record date being 5.00pm on 6 April 2022. Shares issued in relation to Ineligible and unmarketable holders have been issued to the sale argent to be sold on market and with the proceeds to be remitted to holders in due course. Bardoc confirms completion of the demerger of Edge Minerals by way of a capital reduction and in-specie distribution to Bardoc shareholders as per the terms of the Demerger Implementation Deed. Holding certificates for Edge Minerals Limited will be dispatched to eligible shareholders in due course.

St. Barbara announces that implementation has occurred under the scheme of arrangement for the acquisition of all the issued shares of Bardoc Gold Limited. The new St Barbara shares issued under the Scheme will commence trading on the ASX on a normal settlement basis on 14 April 2022.

The securities of Bardoc Gold Limited ("˜BDC') will be suspended from quotation at the close of trade today, Monday 4 April 2022, under Listing Rule 17.2, at the request of BDC, following lodgement of Court orders with the Australian Securities and Investment Commission approving the scheme of arrangement by which St Barbara Limited will acquire all of the issued shares in BDC.
