On 5 June 2023, the Company was advised by the directors of Troy Resources Guyana Inc that an administrator had been appointed to TRGI. This was confirmed by the administrator on 12 June 2023. The directors of TRGI (none of whom are directors of Troy) decided to appoint an administrator due to the financial status of TRGI "“ specifically, its inability to continue to fund both ongoing corporate and care and maintenance costs. The result of this is that Troy has become a very different company to what it was previously. The Company's main assets are residual cash and certain mining rights held by the Company in Brazil "“ specifically, 802.913/1978 and 810.354/1976 "“ which are known to host iron ore minerals. The mining rights are the subject of a definitive agreement for their proposed lease and assignment to a Brazilian company, PST Empreendimentos e Participacoes Ltda. The contract continues on foot. The amount TRY may receive from the transaction is not certain as the transaction will most likely crystallise tax liabilities owed to the Brazil government.

The Company entered into a series of agreements that will, if approved by shareholders, achieve a recapitalisation of the Company. All matters required to be finalised for the restart of operations at the Karouni Gold Mine in Guyana, including financing and working capital required for the restart, have now been put into place. The company has made a placement of 40 million fully paid ordinary shares at a price of 10 cents per share. The company has also signed a term sheet for the provision of a gold loan from Asian Management Investment Services. The facility is for the amount of 5,200 ounces of gold and is available in one or more tranches as required by the company. The facility has a term of 12 months with a bullet repayment, though early repayment is permitted. Together, this provides total funding of approximately A$15 million, supplementing the company's remaining cash reservecs, and will be used for the purposes of restarting operations at the Karouni Gold Mine in Guyana. With funding now secured, the board has formally approved the recommencement of operations at the Karouni Gold Mine.

Drilling at the Hicks 1 Extension has intersected bonanza gold grades within the Hicks/Smarts Shear. Mineralisation known to extend along strike for approximately 2 kilometres, with the shear zone typically in the order of ten metres wide. Mineralisation underlies sand cover of approximately twenty-five metres and, at this stage, is open at depth. Updating of Mineral Resource estimates and mining studies on the Hicks 1 Extension is continuing. Located close to existing infrastructure and with mineralisation variously high-grade and relatively near-to-surface, the Hicks 1 Extension represents a highly-attractive near term mining target.

Following the tragic incident at the Hicks 1 Extension Trench, the four parties investigating the death have notified of any cause against the company or its safety practices. On 8 November 2019, the Ministry of Social Protection rescinded its cease work order. Despite this, there are several matters that need to be resolved befor the company can restart operations. Troy has been working to finalise operating plans and a cash flow and budget for the recommencement of operations at Karouni. On 18 November, with the expiry of the six-week permitted stand down period fast approaching, the company took the decision to retrench just over 200 workers. The decision was made as there was no work for them at that time. When the decision to restart has been made, the company will be able to preferentially offer employment to former employees, thus enabling the streamlining of the workforce. Before Troy is willing/able to recommence activities, the following matters need to be sorted/addressed: Receipt of the title permit to undertake mining of Ohio Creek from GGMC; Renewal of the DIA licence from the Government of Guyana; The completion by Troy of a viable mine plan and budget for the next 12 to 24 months of operations, including assessment of the Smarts 3 operations; and The company securing sufficient funding to enable the restart of operations. The company also made a clarification regarding a significant amount of misinformation circulating within the Guyana press and on local social media.

Austral Gold Limited has entered into a share purchase agreement with Troy Resources to acquire the remaining 30% interest in the Casposo silver-gold mine located in San Juan, Argentina. Austral has agreed to pay US$0.2 million for the outstanding common shares of Casposo Argentina, a wholly-owned subsidiary of Troy that owns the Casposo mine. The payment is to be made on the closing date, which we expect to occur by 28 November 2019. The agreement is also subject to standard indemnities provided by both Austral and Troy.

The trading halt followed the tragic death of an employee on 8 October as a result of an incident at the Hicks 1 Extension Trench. An investigation into the incident was immediately launched by four parties. However, prior to the release of any formal findings in relation to the incident, the company received a letter from the junior Minister within the Ministry of Social Protection in which the company was ""¦hereby directed that there be a cessation of all mining activities with immediate effect until further notice from this Ministry." This came as a surprise to the Company since the ban included all mining areas including the Smarts 3 and Larkin Pits which are not where the incident took place. This stop order was inconsistent with normal protocols in such situations. Nevertheless, the company had no option but to cease aell mining activities. The company took the step of standing down all site employees other than those undertaking security duties, exploration activities and those involved in preparing the processing plant for a full shutdown. Troy's management is hoping to meet with relevant officials of the Guyanese Government over coming days to discuss the way forward at Karouni. Troy will not reinstate any of the laid-off employees nor recommence mining and processing activities until such time as the company has clear approvals from all relevant government agencies.
